Terms of Service

1. Agreement to Terms

By accessing or using SellerCopilot's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Services.

These Terms apply to all users, including Amazon sellers who connect their Selling Partner accounts to our platform.

2. Description of Services

SellerCopilot provides Amazon sellers with:

  • Brand Analytics Services: Access to Amazon Brand Analytics data, including search term reports, market basket analysis, and item comparison data
  • Performance Analytics: Sales performance tracking, revenue forecasting, and inventory optimization tools
  • Competitive Intelligence: Market trends, competitor analysis, and pricing insights
  • AI-Powered Recommendations: Automated suggestions for listing optimization, pricing strategies, and inventory management
  • Multi-Account Management: Centralized dashboard for managing multiple Amazon Seller accounts

3. Account Registration and Access

3.1 Account Creation

To use our Services, you must:

  • Be at least 18 years old
  • Have an active Amazon Seller Central account
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use

3.2 Amazon SP-API Authorization

By authorizing SellerCopilot to access your Amazon Seller account through the SP-API:

  • You grant us permission to retrieve and process your seller data
  • You confirm you have the authority to grant such access
  • You understand that we will access Brand Analytics data as permitted by Amazon
  • You can revoke access at any time through your Amazon Seller Central account

4. Acceptable Use Policy

4.1 Permitted Use

You may use our Services to:

  • Analyze your Amazon selling performance
  • Optimize product listings and pricing
  • Track inventory and sales metrics
  • Generate business reports and insights
  • Manage multiple Amazon seller accounts

4.2 Prohibited Use

You may NOT:

  • Share your account access with unauthorized users
  • Use the Services to violate Amazon's policies or terms
  • Attempt to reverse engineer or copy our platform
  • Use data for illegal or unethical purposes
  • Scrape, harvest, or collect data from our platform
  • Interfere with or disrupt the Services
  • Upload malware, viruses, or harmful code
  • Misrepresent your identity or affiliation

5. Subscription and Payment Terms

5.1 Subscription Plans

We offer the following subscription tiers:

  • Starter Plan: $49/month - For individual sellers with up to 1,000 products
  • Professional Plan: $149/month - For growing businesses with up to 10,000 products
  • Enterprise Plan: $399/month - For large-scale operations with unlimited products

All plans include a 30-day free trial. No credit card required for trial activation.

5.2 Billing

  • Subscriptions are billed monthly or annually in advance
  • Prices are in USD and exclude applicable taxes
  • Automatic renewal unless canceled before the next billing cycle
  • No refunds for partial months or unused services

5.3 Price Changes

We reserve the right to modify pricing with 30 days' notice. Existing subscribers will be grandfathered at their current rate for 90 days after any price increase.

6. Data Use and Ownership

6.1 Your Data

You retain all ownership rights to your seller data. We process your data solely to provide the Services as described in our Privacy Policy.

6.2 Amazon Data Compliance

In accordance with Amazon SP-API policies:

  • We use Amazon Information only to provide Services to you
  • We do not sell or license Amazon data to third parties
  • We comply with sections 4.4 and 4.5 of Amazon's Acceptable Use Policy
  • We maintain strict confidentiality of Brand Analytics data
  • We delete data upon your request or service termination

6.3 Aggregated Data

We may use anonymized, aggregated data for:

  • Platform improvement and analytics
  • Market research and industry reports
  • Service optimization

This aggregated data cannot be used to identify individual sellers or customers.

7. Service Availability and Support

7.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance.

7.2 Support

  • Starter: Email support (48-hour response time)
  • Professional: Priority email support (24-hour response time)
  • Enterprise: Dedicated account manager with phone support

8. Intellectual Property

The Services, including all software, designs, and content, are owned by SellerCopilot and protected by copyright, trademark, and other intellectual property laws. You may not:

  • Copy, modify, or distribute our software or content
  • Remove proprietary notices or labels
  • Use our trademarks without written permission

9. Confidentiality

Both parties agree to maintain confidentiality of:

  • Proprietary business information
  • Technical data and processes
  • Customer and seller information
  • Trade secrets and methodologies

10. Warranties and Disclaimers

10.1 Service Warranty

We warrant that our Services will perform substantially as described. However, we do not guarantee:

  • Specific business results or revenue increases
  • Accuracy of third-party data (including Amazon data)
  • Compatibility with all systems or browsers
  • Error-free operation

10.2 Disclaimer

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability shall not exceed the amount you paid in the past 12 months
  • We are not liable for indirect, incidental, or consequential damages
  • We are not responsible for loss of profits, data, or business opportunities
  • We are not liable for actions taken based on our recommendations or analytics

12. Indemnification

You agree to indemnify and hold harmless SellerCopilot from any claims, damages, or expenses arising from:

  • Your use of the Services
  • Violation of these Terms
  • Violation of Amazon's policies
  • Infringement of third-party rights

13. Termination

13.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

13.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • You fail to pay subscription fees
  • We receive complaints of policy violations
  • Your Amazon Seller account is suspended or closed
  • We are required to by law or Amazon

13.3 Effect of Termination

Upon termination:

  • Your access to the Services will cease immediately
  • Your data will be deleted within 30 days (unless legally required to retain)
  • No refunds will be provided for prepaid fees

14. Amazon SP-API Compliance

Our Services comply with:

  • Amazon Selling Partner API Developer Code of Conduct
  • Amazon SP-API Acceptable Use Policy
  • Amazon SP-API Data Protection Policy
  • Amazon Brand Analytics Terms and Conditions

We maintain the right to modify our Services to ensure ongoing compliance with Amazon's policies.

15. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via:

  • Email notification to your registered address
  • In-platform notification
  • Updated "Last Modified" date on this page

Continued use after changes constitutes acceptance of the new Terms.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law provisions.

16.2 Dispute Resolution

Any disputes shall be resolved through:

  • Good faith negotiation
  • Mediation (if negotiation fails)
  • Binding arbitration under JAMS rules (if mediation fails)

17. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and SellerCopilot
  • Severability: If any provision is found invalid, the remaining provisions continue in effect
  • No Waiver: Failure to enforce any right does not waive that right
  • Assignment: You may not assign these Terms without our written consent
  • Force Majeure: We are not liable for delays due to circumstances beyond our control
